Terms of Service

These terms govern your use of upgRATE. By creating an account or using the product, you agree to them. If you're signing up on behalf of a practice or organization, you represent that you're authorized to bind that organization to these terms.

The service

upgRATE provides rate benchmarks derived from publicly available insurer data, tools for drafting rate-negotiation letters, and workflow software for tracking responses. We do not guarantee a specific outcome from any negotiation — what we provide is data and tooling; you decide what to do with it.

Your account

  • Keep your credentials confidential.
  • Don't share accounts between multiple providers on a solo plan.
  • You're responsible for activity under your account.

Acceptable use

You agree not to:

  • Scrape, resell, or redistribute upgRATE's benchmark data.
  • Reverse-engineer the service or its data pipelines.
  • Use the service to harass a payer or a specific individual.
  • Submit false information (e.g., someone else's NPI) to get benchmarks you're not entitled to.

Fees

Pricing is published at /pricing. upgRATE charges a single flat fee per practice, in U.S. dollars, exclusive of applicable taxes.

Refunds

If you pay the fee, run the workflow, and don't find a meaningful rate gap, email hello@upgrate.ai within 14 days and we'll refund you. We'd rather you not pay than be unhappy.

Not legal or financial advice

upgRATE is software and data tooling. It is not legal, tax, or financial advice. For contract-language changes, billing arrangements, or disputes with a payer, consult a qualified healthcare attorney.

Data accuracy

Benchmarks are derived from the most recent MRFs we've ingested. Insurer-published data can contain errors, gaps, or late updates. We make a good-faith effort to detect and correct obvious issues, but we don't warrant that every rate is current or complete. Double-check anomalies against your contracts before acting on them.

Warranties and liability

The service is provided "as is." To the fullest extent permitted by law, upgRATE disclaims implied warranties of merchantability and fitness for a particular purpose.

Our aggregate liability for any claim arising from the service is limited to the amount you paid upgRATE in the 12 months before the claim. We're not liable for indirect, consequential, or lost-profits damages.

Termination

You can cancel any time. We can suspend or terminate accounts that violate these terms, with notice where reasonable.

Changes to these terms

We'll update these terms as the product evolves. Material changes get email notice to account holders at least 30 days before taking effect. Continued use after a change means you accept the new terms.

Governing law

These terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Any dispute is subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
